Agreement: Confidential, Non-Disclosure, Indemnification Thomas J. Bradley & Associates (Bradley) and the person requesting more information (Recipient) confirm their mutual understanding in connection with information regarding the Business/Property associated with the “Listing Code.” “Information” shall mean all reports, oral and written, concerning the Business/Property, including its identity, location, present and proposed products, procedures, information base, and the knowledge that it may consider an equity or debt infusion. Recipient or its associates will not communicate information provided by Bradley about the Business/Property to any third party not bound by this agreement. Employees and associates, to include legal and financial advisors, are bound to the same obligation of secrecy and confidentiality as Recipient. Under no circumstances is the Recipient to contact or exchange information with customers, employees, or the Business/Property owner without the written authorization of Bradley. Unless permission is specifically given by Bradley, all communications prior to closing between Recipient and the Business/Property will be handled through Bradley. No transaction including but not limited to a sale, lease, loan, management, investment, or purchase will be completed within 18 months of the execution of this agreement unless Bradley has at the same time received its brokerage, management, or professional fee or a note acceptable to it. While “information” is thought to be accurate, no such representation or warranty is made by Bradley. The Recipient will perform due diligence at its own cost and satisfaction, and set forth representations by the Business/Property in a contract, binding only when mutually executed. Bradley will not be held accountable by the Recipient for any and all errors or omissions including but not limited to “information.” Recipient will defend and hold Bradley harmless from such claims. Bradley does not represent a fiduciary relationship with the Recipient. At any time in the contemplated transaction, Bradley might be representing the interests of a seller, third party, or Bradley. Bradley’s relationship to the Business/Property could be as a broker or principle owner and this position may change at any time and without notice to the Recipient. Bradley is not an agent or representative of the Recipient. Recipient will acknowledge that Bradley is the only broker and is entitled to the fees paid by the Seller or Lessor of the Business/Property. Recipient agrees that any and all of the Recipient’s contracts to purchase or lease the Business/Property will include the written indemnification of Bradley and the acknowledgement that Bradley is entitled to the fees paid by the Seller or Lessor of the Business/Property. IT IS ILLEGAL TO REFUSE TO DISPLAY OR SELL TO ANY PERSON BECAUSE OF ONE'S MEMBERSHIP IN A PROTECTED CLASS, E.G., RACE, COLOR, RELIGION, NATIONAL ORIGIN, SEX, ANCESTRY, AGE, MARITAL STATUS, PHYSICAL OR MENTAL HANDICAP, FAMILIAL STATUS, OR ANY OTHER CLASS PROTECTED BY ARTICLE 3 OF THE ILLINOIS HUMAN RIGHTS ACT. This Agreement is to be interpreted and construed under the laws of the State of Illinois. All issues, of any nature, where Bradley believes there to be a failure of this Agreement must be submitted to final arbitration, without appeal, with a mutually acceptable arbitrator, or one chosen by the American Arbitration Association. All materials furnished by Bradley remain proprietary to Bradley, and shall be returned within 48 hours of written demand or destroyed at Bradley’s option.
